General terms and conditions of business

1 General

​

The following general terms and conditions apply exclusively to business transactions with Nautec AG. these are binding for all current and future business transactions with Nautec AG, even without special reference. Deviations must be in writing. Deviating general terms and conditions of the contractual partner of Nautec AG are legally ineffective, even if they
remain unchallenged.

2. Offer and Prices

​

2.1 All offers are non-binding. Nautec AG reserves the right to withdraw without compensation even after its order confirmation if it is unable to make the goods available from its supplier or is late.

​

2.2 The basis for the agreed prices are the production costs known to Nautec AG at the time of the order confirmation. In the event of a subsequent increase in the production costs, in particular in the event of price increases on the part of suppliers, a proportionate price adjustment will be made.

3. Delivery

​

3.1 The information provided by Nautec AG on the weight and dimensions of the goods and packaging is non-binding. Partial deliveries are permitted; in such cases, the buyer must pay for each partial delivery in accordance with Nautec AG's terms of payment.

3.2 Acceptance of the execution of orders can be made dependent on security, advance payment or cash on delivery. The resulting expenses for interest rates/exchange rates are borne by the buyer.

​

3.3 Nautec AG assumes no liability if delivery times are exceeded. Delays in delivery only entitle the buyer to withdraw from the contract if a reasonable grace period has been set no earlier than 4 weeks after the delivery date has expired.

4. Terms of Payment

​

4.1 Subject to Section 3.2, the invoices plus VAT are payable within 30 days without deductions. In the case of payment by bill of exchange, Nautec AG is entitled to demand the usual bank discount charges. Bills of exchange and checks only count as payment once they have been honoured.

4.2 The buyer's right of offsetting is expressly excluded. The due date of the purchase price is not affected by asserted defects.

​

5. Drawings and Documents


Nautec AG retains sole ownership and copyright to all drawings, drafts, cost estimates and other documents. Such documents are considered to be personally entrusted to the buyer and his employees. They may not be made accessible to third parties or copied without the written consent of Nautec AG. They are to be returned to Nautec AG upon first request.

6. Warranty and Liability for Defects


Nautec AG provides a 6-month warranty from the time the goods are dispatched. Any further guarantee, in particular for direct and indirect damage, is excluded. The guarantee lapses if the terms of payment are not complied with or the buyer or third parties have made changes or repairs to the delivered goods.

7. Wake & Relax

​

The slot booking of a session is generally binding.

​

We make an exception if:

- The weather situation develops in such a way that safety and the experience on board should be endangered.

- We will be informed by phone 24 hours before the start of the session that you will not be able to attend the session.

- If the session is canceled within 24 hours before the start, we will charge 50% of the costs.

- If we cannot hold the session as planned, we will transfer any deposits to you.

 

There is no further financial claim for a canceled session

 

If damage to the boat or the material occurs due to negligence in the use of equipment or material, it is to be borne by the person who caused it.

 

Insurance is the responsibility of the participants

All price plans are valid for one year from the date of purchase.

8. Place of Performance and Jurisdiction

​​

8.1 The place of performance is CH-8954 Geroldswil. Swiss law is exclusively applicable to any disputes. The United Nations Convention on Contracts for the International Sale of Goods (Vienna Sales Convention) of April 11, 1980 is excluded.

8.2 Place of jurisdiction is Zurich​
